1. Definitions

  • “Abni”, “we”, “us” means ABNI AI LTD, the provider of the Abni platform.
  • “Customer”, “you” means the person or organisation using the platform.
  • “Platform” means the Abni software, systems and services.
  • “Input Data” means any data, content or materials submitted by you — prompts, brand materials, reference images and uploads.
  • “Outputs” means any content generated by the Platform.

2. What Abni does

Abni provides a cloud-based software platform that helps teams generate, adapt and manage brand-aligned digital content, using a combination of proprietary systems and third-party AI services.

It is a tool to support your team, not replace human judgement. You remain responsible for how Outputs are used.

The Platform is provided on an “as is” and “as available” basis and may evolve over time. We reserve the right to modify, suspend or discontinue any part of the Platform.

3. Access and acceptable use

You are granted a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes.

You agree not to:

  • copy, reproduce or distribute any part of the Platform
  • reverse engineer, decompile or attempt to extract underlying systems
  • use the Platform for unlawful, harmful or abusive purposes
  • interfere with the operation or security of the Platform

We may suspend or terminate access where we reasonably believe these terms have been breached.

4. Your responsibilities

You are responsible for:

  • ensuring you have the right to use any Input Data you submit
  • reviewing and approving Outputs before use
  • complying with all applicable laws and regulations
  • securing the credentials used to access the service — including multi-factor authentication, effective password management and secure storage

The Platform is intended to support, not replace, human judgement.

5. Your content

Anything you upload or input into Abni remains yours. You retain ownership of all Input Data.

We use your inputs only to provide the service. We do not sell your data, use it to train our systems, or make it available to the models we use for training purposes.

Inputs and Outputs are stored by us while you are subscribed to the service. Our obligation to store them ends when our commercial relationship ends: content from cancelled accounts is retained for up to 12 months after the subscription ends, and is then deleted. It is your responsibility to download anything you want to keep before your last billing period ends.

Content you delete within the Platform is moved to trash, held for 30 days, and then permanently deleted.

6. Outputs

Subject to payment of applicable fees, you are granted a licence to use Outputs for your business purposes.

However:

  • Outputs should be reviewed before use
  • you are responsible for ensuring they are appropriate, accurate and compliant
  • Abni does not guarantee that Outputs are unique or free from third-party rights

Abni is designed to support production, not act as a final decision-maker.

7. Intellectual property

All rights in the Platform — including software, systems, workflows and underlying technology — remain the property of Abni.

You may not copy, reproduce or attempt to replicate how the Platform works.

8. Third-party services

The Platform integrates with third-party providers (including AI services) to deliver functionality. By using the Platform, you acknowledge that:

  • Input Data may be processed by these providers
  • Abni does not control their systems or policies
  • their availability and performance may affect the Platform

We are not liable for the acts or omissions of third-party providers. The providers we use are listed in our Privacy Policy.

9. Data protection

We process personal data only as necessary to provide the Platform.

Where Abni acts as a data processor, we will process data in accordance with applicable data protection laws and implement appropriate technical and organisational measures.

Full details are set out in our Privacy Policy and, for business clients, our Data Processing Agreement.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party and to use such information only for the purposes of the agreement. This obligation survives termination.

11. Availability

We aim to provide a reliable service, but we do not guarantee uninterrupted access. The Platform may be subject to maintenance, updates and technical issues outside our control.

The Platform may be updated, improved or changed over time in response to customer feedback, so we don’t guarantee that the functionality you see at signup will remain exactly the same.

12. Fees, billing and cancellation

Fees are payable as set out on our Pricing page or as otherwise agreed with you. Payments and subscriptions are processed by Stripe.

Credits are prepaid. Subscription plans grant credits each month, and additional credits can be purchased, including by automatic top-up where you enable it. Credits do not expire.

There is no self-serve refund mechanism. Refunds and cancellations are handled through support — contact team@abni.ai — and any refund is processed through Stripe.

Failure to pay may result in suspension or termination of access.

You are free to stop using Abni at any time — see Section 5 for what happens to your stored content when you do.

Cancelling your subscription stops it renewing. Your access, and any credits you hold, continue until the end of the billing period you have already paid for; we do not provide partial refunds for the remainder of that period.

13. Limitation of liability

To the maximum extent permitted by law, Abni shall not be liable for any indirect, incidental or consequential loss, including loss of profit, revenue, data or business opportunity, and we cannot accept responsibility for:

  • how Outputs are used
  • business decisions made using the Platform

Abni’s total liability shall not exceed the fees paid by the Customer in the 12 months preceding the claim.

14. Disclaimer

The Platform is provided without warranties of any kind. We do not guarantee that:

  • Outputs will be accurate, complete or suitable for your purposes
  • Outputs will not infringe third-party rights
  • the Platform will meet all of your requirements

15. Indemnity

You agree to indemnify Abni against any claims arising from your use of the Platform, your Input Data, or your use of Outputs.

16. Termination

You may stop using the Platform at any time.

We may suspend or terminate access if:

  • you breach these terms
  • continued use creates legal, security or reputational risk
  • use conflicts with responsible use of the Platform (Section 17)

17. Responsible use

Abni is intended to support creative teams and improve how work is produced. It should be used to support teams, not undermine them.

We reserve the right to withdraw access where the Platform is used in ways that are clearly harmful to team development or long-term industry health.

18. Changes to these terms

We may update these terms from time to time. Where changes are material, we will provide reasonable notice. Continued use constitutes acceptance of the updated terms.

19. Governing law

These terms shall be governed by and construed in accordance with the laws of England & Wales.
